Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Digital Toolkits platform, including all associated apps, tools, resources, and services (collectively, the "Service"). The Service is operated by JLA Digital Solutions LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and legally capable of entering into binding contracts under applicable law.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at digitaltoolkits.shop@gmail.com of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized account access.

3. Subscriptions and Billing

3.1 Pro Membership

Digital Toolkits Pro is a monthly subscription priced at $19.99/month. Your subscription grants full access to all current and future Digital Toolkits apps, resources, courses, and features. Payment is processed securely through Stripe. Your subscription renews automatically each month until cancelled.

3.2 Recurring Billing

By subscribing to Digital Toolkits Pro, you authorize JLA Digital Solutions LLC to charge the recurring monthly fee of $19.99 to your designated payment method until you cancel. You may cancel your subscription at any time from the Billing page in your dashboard. Cancellation stops future charges — you will retain access to all Pro features until the end of your current billing period, after which your account will revert to the Free plan.

3.3 Price Changes

We reserve the right to change subscription pricing. Any price changes will be communicated via email at least 30 days before they take effect. Existing subscribers will be charged the new rate at the start of their next billing cycle following the notice period.

3.4 Free Plan

A free membership tier is available at no cost. The Free plan includes limited access to certain features and resources. We may modify or discontinue free features at any time.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform
• Resell, redistribute, sublicense, or transfer your access to any third party
• Use automated systems (bots, scrapers) to access the Service without our written permission
• Upload or transmit viruses, malware, or any malicious code
• Attempt to gain unauthorized access to any system, data, or account
• Use the AI features to generate harmful, illegal, or abusive content

5. AI-Powered Features

The Service includes AI-powered tools that generate text, prompts, suggestions, and other content. AI-generated content may not always be accurate, complete, or appropriate for your use case. You are solely responsible for reviewing, validating, and using any AI-generated output. We do not guarantee any specific results from AI-generated content. See our AI Usage Policy for full details.

6. Intellectual Property

All content, branding, software, tools, resources, and materials within the Digital Toolkits ecosystem are the intellectual property of JLA Digital Solutions LLC. This includes, but is not limited to, app designs, interfaces, code, graphics, logos, text, prompts, templates, and course materials.

Digital Toolkits grants you a personal, non-transferable, non-exclusive license to access and use the platform and its apps in accordance with these Terms. You may not resell, redistribute, or sub-license access to any Digital Toolkits product.

You retain ownership of any content you create, upload, or generate using our apps. By using our AI tools, you grant us a limited license to process your inputs solely to provide the Service to you.

7. Digital Products and Courses

The Service may include digital downloads, eBooks, templates, workbooks, and online courses. These materials are licensed to you for personal and professional use. You may not reproduce, distribute, or resell these materials without written permission from JLA Digital Solutions LLC.

8. Third-Party Services

The Service integrates with and relies on third-party services, including Stripe (payment processing), Base44 (infrastructure), and various AI providers. We are not responsible for the practices or actions of these third parties. You are subject to the terms and policies of these services when using their features.

9. Refunds

Refund requests are handled in accordance with our Refund Policy. Subscription cancellations stop future charges but do not automatically entitle you to a refund for the current billing period.

10. Service Availability

While we strive for maximum uptime, JLA Digital Solutions LLC does not guarantee uninterrupted access to the Service. Scheduled maintenance, updates, and unexpected outages may occur. We are not liable for any downtime or data loss.

11. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, JLA Digital Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless JLA Digital Solutions LLC, its officers, employees, and partners from any claims, damages, liabilities, or expenses arising from your use of the Service or your violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. No refunds will be provided for terminated accounts that violate these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved in accordance with applicable U.S. law.
